These Terms and Conditions ("Terms") govern your access to and use of the FloTrader AI platform, website at flotraderai.com, and all related services (collectively, the "Service") operated by FloTrader AI ("FloTrader", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction to use the Service. By using FloTrader AI, you represent and warrant that you meet these requirements.

2. Nature of the Service

2.1 Software Tool, Not Financial Advice

FloTrader AI is a software tool that provides automated market analysis and trade execution capabilities. It is NOT a financial adviser, broker-dealer, investment adviser, or fiduciary.

The Service does not provide personalised financial advice, investment recommendations, or portfolio management services. All trading signals, AI decisions, and market analysis generated by the Service are algorithmic outputs based on technical data and should not be construed as financial advice.

2.2 No Guarantee of Returns

Past performance does not guarantee future results. Trading in financial markets involves substantial risk of loss. You may lose some or all of your invested capital. The use of AI and algorithms does not eliminate risk. Markets are inherently unpredictable, and no system, algorithm, or AI model can guarantee profitable outcomes.

2.3 Your Responsibility

You are solely responsible for all trading decisions and their consequences, whether executed manually or through automated features of the Service. You acknowledge that:

  • You understand the risks associated with trading financial instruments including stocks, forex, and cryptocurrencies
  • You are trading with funds you can afford to lose
  • You have the necessary knowledge and experience to evaluate the risks
  • You should consult a qualified, independent financial adviser before making investment decisions
  • The AI may make decisions that result in financial losses

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your credentials
  • You are responsible for all activity under your account
  • You must notify us immediately of any unauthorised access
  • We reserve the right to suspend or terminate accounts at our sole discretion

4. Broker Connections

The Service allows you to connect third-party brokerage accounts to enable automated trading. By connecting a broker account, you:

  • Authorise FloTrader AI to place trades on your behalf through your broker
  • Acknowledge that FloTrader AI is not affiliated with, endorsed by, or partnered with any broker
  • Accept full responsibility for ensuring your broker account is properly configured
  • Understand that broker API connectivity issues, latency, or outages may affect trade execution
  • Agree that we are not liable for any actions taken by your broker, including order rejections, delays, or fees

5. AI-Powered Trading

5.1 AI Decision-Making

FloTrader AI uses artificial intelligence models to analyse market data and make trading decisions. You acknowledge and accept that:

  • AI models may produce errors, false signals, or suboptimal decisions
  • AI behaviour may change as models are updated or retrained
  • AI decisions are based on historical and real-time data that may be incomplete, delayed, or inaccurate
  • The AI does not have access to insider information or non-public data
  • System failures, bugs, or technical issues may result in unintended trades or missed opportunities

5.2 Automated Execution

When automated trading is enabled, the Service will execute trades without requiring manual confirmation for each individual trade. You may disable automated trading at any time. You are responsible for monitoring your positions and account status.

6. Subscription and Payments

  • The Service is offered on a subscription basis with pricing as displayed on the website
  • All fees are charged in advance on a monthly or annual basis
  • Payments are processed securely by Stripe; we do not store your full payment details
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods or unused features
  • We reserve the right to change pricing with 30 days' notice

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • FloTrader AI, its officers, directors, employees, agents, and affiliates shall NOT be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • This includes, without limitation, any trading losses, lost profits, loss of data, loss of opportunity, or financial damages of any kind
  • Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim
  • We are not liable for losses caused by broker outages, API failures, market data delays, internet connectivity issues, or force majeure events
  • We are not liable for any losses resulting from AI decisions, trading signals, or automated trade execution

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses
  • Warranties regarding the accuracy, reliability, or completeness of any trading signals, AI decisions, or market data
  • Warranties that the Service will meet your requirements or generate profits

9. Indemnification

You agree to indemnify, defend, and hold harmless FloTrader AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:

  • Your use of the Service
  • Your trading activities and decisions
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your broker account activities
  • Any third-party claims related to trades executed through the Service

10. Regulatory Compliance

You are solely responsible for complying with all applicable laws and regulations in your jurisdiction, including but not limited to securities laws, tax obligations, anti-money laundering regulations, and financial reporting requirements. FloTrader AI does not provide tax or legal advice.

The Service may not be available or appropriate for use in all jurisdictions. It is your responsibility to determine whether your use of the Service is lawful in your jurisdiction.

11. Intellectual Property

All content, features, functionality, algorithms, AI models, and code comprising the Service are the exclusive property of FloTrader AI and are protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Service.

12. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, including market manipulation or insider trading
  • Attempt to gain unauthorised access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Resell, sublicence, or redistribute access to the Service
  • Use the Service to develop competing products
  • Scrape, crawl, or harvest data from the Service
  • Share your account credentials with others

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • All automated trading will be immediately disabled
  • Your licence to use the Service ceases
  • Broker connections will be disconnected
  • You remain responsible for any open positions or pending trades
  • Sections regarding limitation of liability, indemnification, and dispute resolution survive termination

14. Risk Disclosure

IMPORTANT RISK WARNING:

  • Trading stocks, forex, and cryptocurrencies carries a high level of risk and may not be suitable for all investors
  • Leveraged trading (including forex and CFDs) can result in losses exceeding your initial deposit
  • Cryptocurrency markets are highly volatile and largely unregulated
  • AI-powered trading systems may malfunction, produce errors, or behave unexpectedly during unusual market conditions
  • Market liquidity, slippage, and execution delays may result in trades being filled at prices different from expected
  • You should never trade with money you cannot afford to lose

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the jurisdiction in which FloTrader AI is incorporated. You agree to waive your right to a jury trial or to participate in a class action lawsuit.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, exchange or market rulings, power failures, internet outages, or cyberattacks.

17. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance.

18. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FloTrader AI regarding the Service, superseding all prior agreements.
